Please read these terms carefully. By accessing DigiScheduler’s website or purchasing or using our services, you agree to these Terms & Conditions. A signed order form, proposal, or service agreement may include additional terms and will control if it expressly conflicts with these terms.

1. About DigiScheduler

DigiScheduler is a New Jersey business providing websites, appointment scheduling, CRM tools, communications, workflow automation, AI-enabled receptionist and support tools, and related setup and consulting services for businesses.

2. Eligibility and authority

You must be at least 18 years old and legally able to enter a contract. If you use the services for a company, you represent that you have authority to bind that company. You are responsible for accurate account, business, billing, and contact information.

3. Accounts and security

You are responsible for safeguarding credentials, limiting staff access, maintaining secure connected accounts, and promptly notifying us of suspected unauthorized access. You are responsible for activity performed through your account unless caused by DigiScheduler’s failure to use reasonable security measures.

4. Services and third-party platforms

The exact services, features, fees, usage limits, and implementation schedule are described in the applicable plan, proposal, checkout page, or order form. Some features depend on third-party platforms such as hosting, telecommunications, calendars, email, payment processors, artificial-intelligence providers, and integration partners. Their terms, availability, limits, and policies may apply and may change.

We may improve or modify features while maintaining the material functionality of the purchased service. Beta or experimental features may be changed or discontinued without notice.

5. Customer responsibilities

  • Provide lawful, accurate content, instructions, contact lists, permissions, and integration access.
  • Review and approve website content, workflows, AI instructions, messages, offers, and account configuration before relying on them.
  • Follow privacy, advertising, telemarketing, email, text-message, call-recording, accessibility, consumer-protection, and industry-specific laws applicable to your business.
  • Obtain required consent before contacting, recording, tracking, or processing information about customers or prospects.
  • Maintain appropriate human oversight for AI-generated responses and decisions.

6. Acceptable use

You may not use the services to break the law, infringe intellectual-property or privacy rights, send unlawful or deceptive communications, distribute malware, interfere with systems, attempt unauthorized access, misrepresent identity, harass others, or create material risk to DigiScheduler, our providers, or other users. We may suspend activity reasonably believed to violate these requirements.

7. Fees, billing, and taxes

Fees are due as stated at checkout or in the applicable agreement. Recurring plans renew automatically until canceled under the applicable cancellation terms. Usage-based services—including telephone, SMS, email, AI, domains, and premium integrations—may carry additional charges. You authorize applicable recurring and usage charges. Except where required by law or expressly stated otherwise, setup work, consumed usage, and completed service periods are non-refundable. You are responsible for applicable taxes other than taxes on our net income.

8. Cancellations and suspension

You may cancel according to your plan or written agreement. Cancellation generally stops future renewal and does not erase outstanding balances. We may suspend or terminate access for nonpayment, security risks, unlawful use, material breach, provider restrictions, or harm to other users. Where practical, we will provide notice and an opportunity to resolve the issue.

9. Customer content and data

You retain ownership of content and data you provide. You grant DigiScheduler and our service providers a limited right to host, copy, transmit, format, and process that material solely to deliver, secure, support, and improve the services. You represent that you have the rights and permissions needed for all submitted material.

Our handling of personal information is described in the Privacy Policy. You are responsible for exporting information you need before account termination, subject to available platform tools and retention requirements.

10. Intellectual property

DigiScheduler and its licensors own the service platform, systems, templates, software, processes, documentation, branding, and improvements, excluding customer content. Unless an agreement states otherwise, you receive a limited, nonexclusive, nontransferable right to use deliverables and services for your own business while your account is active and paid. You may not resell, reverse engineer, copy, or exploit platform components except as expressly authorized.

11. AI and automation notice

Automated and AI-generated outputs may be incomplete, inaccurate, or inappropriate for a particular situation. They are not legal, medical, financial, or other professional advice. You must review material outputs and maintain human oversight. DigiScheduler does not guarantee that an automation will produce a particular sale, booking, ranking, revenue level, or business result.

12. Disclaimers

To the maximum extent permitted by law, services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted or error-free operation. We do not guarantee third-party services, telecommunications delivery, search rankings, lead volume, conversion rates, or specific financial results.

13. Limitation of liability

To the maximum extent permitted by law, DigiScheduler will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, goodwill, or business opportunities. Our aggregate liability arising from the services will not exceed the amount you paid DigiScheduler for the affected service during the three months preceding the event giving rise to the claim. These limits do not apply where prohibited by law.

14. Indemnification

You agree to defend and indemnify DigiScheduler against third-party claims, losses, and reasonable costs arising from your content, instructions, unlawful communications, misuse of the services, violation of these terms, or infringement of another person’s rights.

15. Governing law and disputes

These terms are governed by New Jersey law, without regard to conflict-of-law principles. Before filing a claim, each party will attempt in good faith to resolve the dispute informally for at least 30 days after written notice. Unless applicable law requires otherwise, courts located in New Jersey will have exclusive jurisdiction.

16. Changes and general terms

We may update these terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance where permitted by law. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them as part of a reorganization or business transfer.

Information from connected services

If you connect a calendar, email account, telephone service, social profile, payment provider, or other integration, we receive the information needed to operate that connection according to your instructions and the provider’s permissions.

3. How we use information

  • Respond to inquiries, schedule consultations, and provide requested services.
  • Create, configure, maintain, secure, and support customer accounts, websites, CRM records, calendars, workflows, and AI-enabled tools.
  • Send operational messages such as appointment confirmations, reminders, support responses, and service notices.
  • With appropriate consent, send marketing communications and follow up regarding our services.
  • Analyze performance, improve our website and services, prevent fraud and abuse, troubleshoot problems, and protect our users.
  • Comply with legal obligations and enforce our agreements.

5. How we share information

We may share information with service providers that help us operate hosting, CRM, scheduling, communications, analytics, payments, security, and customer support. These providers may use information only to perform services for us or as otherwise allowed by their own agreements and applicable law.

We may also disclose information when required by law, to protect rights or safety, during a business transaction such as a merger or sale, or with your direction or consent. We do not sell personal information for money.

6. Email, telephone, and text communications

By submitting contact information, you may receive messages related to your request or appointment. Marketing email recipients may unsubscribe using the link in the message. You may opt out of marketing text messages by replying STOP; reply HELP for assistance. Message and data rates may apply. Opting out of marketing does not prevent essential transactional or service communications.

7. Retention and security

We keep information only as long as reasonably necessary for the purposes described here, including providing services, maintaining business records, resolving disputes, and meeting legal obligations. We use reasonable administrative, technical, and organizational safeguards, but no system or transmission method can be guaranteed completely secure.

8. Your choices and privacy rights
